The terms that govern use of the Ceramic Portal platform.

Terms of Service - Ceramic Portal
These Terms of Service ("Terms") govern your use of Ceramic Portal, a software platform provided by Invention Hill (the "Company"). Ceramic Portal is a web and mobile app for Ceramic dealers and retailers to manage inventory and orders. By registering for or using Ceramic Portal, you agree to these Terms and all policies. Invention Hill may modify these Terms at any time (see Changes to Terms below), and continued use of the service after updates means you accept the revised Terms.

1. Accounts: Dealers and Retailers

Dealers: To use Ceramic Portal, dealers must register an account on our website or by contacting us. During registration, dealers must provide accurate business details (e.g. name, address, Tax ID/GST info). Dealers are responsible for managing their account security (passwords, access) and for all actions under their account. Dealers may use the Portal to track and manage their inventory and handle incoming orders from retailers. Dealers can also invite or approve retailers under their account. Dealers are charged a subscription fee (see Pricing & Payment below).
Retailers: Retailers are typically added or invited by a Dealer and use Ceramic Portal to view dealer products and place orders. Retailer accounts are free. Retailers can only access the Portal through an associated Dealer account. Retailers may browse product listings provided by their Dealer and submit orders, but cannot independently list products or handle inventory. Retailers must not attempt to sign up as Dealers or bypass the Dealer–Retailer relationship.
Each user (Dealer or Retailer) is responsible for maintaining the confidentiality of their account credentials and for all activity under their account. You agree to notify us immediately of any unauthorized use. We reserve the right to refuse service or suspend any account at any time if we suspect fraudulent or abusive use.

2. Pricing & Payment

Dealers: Access for Dealers is on a subscription basis. By registering as a Dealer, you agree to pay the subscription fee for your chosen plan (monthly, annual, etc.) in advance. Subscription fees are billed in your chosen currency and must be paid via the payment methods we offer. Prices and billing terms will be provided during checkout or on your invoice. Subscription fees are non-refundable. If you cancel mid-term, your account will remain active through the paid period but no partial refunds or credits are given. All prepayments for future billing periods are also non-refundable.
Retailers: Use of Ceramic Portal is free for retailers. Retailers incur no subscription charges when invited by a Dealer. However, retail orders are ultimately fulfilled by Dealers, who must handle any product or order-related charges.
You must keep your billing information current. If a payment fails, we may suspend your access until payment is made. We reserve the right to change pricing or require deposits at any time, with notice as described below.

3. License and Intellectual Property

Ceramic Portal and all of its original content, software, and related materials (excluding user-provided content) are and will remain the exclusive property of Invention Hill or its licensors. Invention Hill grants you a limited, non-exclusive, non-transferable license to use the Portal and its content solely for your internal business purposes, subject to these Terms. You agree not to copy, modify, distribute, sell, or lease any part of our software or content without our written permission. All trademarks, service marks, and logos displayed on Ceramic Portal are the Company's property.
You retain ownership of any user-generated content you submit (such as inventory entries or order information). By using the service, you grant Invention Hill a worldwide, royalty-free license to use, reproduce, and distribute that content in order to provide and improve the service.

4. Acceptable Use and Restrictions

You must use Ceramic Portal lawfully and appropriately. You may not do any of the following:
  • Illegal activities: Engage in illegal activities such as fraud or unauthorized resale.
  • Harmful behaviors: Post unlawful, defamatory, abusive, or obscene content
  • Interference: Attempt to disrupt or overload our systems via hacking or spam.
  • Security violations: Access another user's account or data without authorization.
  • Abuse of Service: Use the Portal to harass, threaten, or harm others.
  • IP violation: Violate the Company's intellectual property or harm its reputation.

5. Privacy and Data Use

We collect only the information necessary to operate the service. This may include names, contact details, business information, inventory and order data, and usage analytics. Our Privacy Policy (linked separately) explains in detail what information we collect, how we use it, how we protect it, and what rights you have. In brief, we use your data to provide and improve the service (for example, storing inventory records and orders). We may share information with payment processors or other third-party service providers as needed to deliver the service, but we will not sell your personal information. You are responsible for ensuring that any personal data you input into the service complies with applicable privacy laws.
You agree that Invention Hill may retain and process your data for as long as needed to provide Ceramic Portal and comply with legal obligations. If you delete your account, we may keep backup copies for a reasonable time to ensure continuity of service or to comply with legal requirements. By using Ceramic Portal, you consent to the collection and use of information as described in the Privacy Policy.

6. Disclaimers of Warranty

Ceramic Portal is provided on an "AS IS" and "AS AVAILABLE" basis. Invention Hill makes no guarantees about the service. We do not warrant that the service will meet all of your needs, be error-free, or uninterrupted. For example, downtime or technical issues may occur, and you use the service at your own risk. We expressly disclaim all warranties, whether express or implied (to the maximum extent allowed by law), including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not guarantee that the service will always be secure or free from bugs. Invention Hill will not be responsible for any losses or damages caused by data loss, errors, or interruptions. You are solely responsible for backing up any data you store through the service. Where the law requires certain warranties to be provided, these disclaimers may not apply, and any mandatory warranties remain in force.

7. Limitation of Liability

To the fullest extent permitted by law, Invention Hill and its affiliates will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to these Terms or the use of Ceramic Portal. This includes, without limitation, any loss of profits, sales, data, use, business interruption, or goodwill. Even if we have been advised of the possibility of such damages, we are not responsible for them.
Notwithstanding anything to the contrary, the Company's total aggregate liability to you for any claim arising under these Terms will be limited to the amount of subscription fees actually paid by your Dealer account under these Terms during the preceding 12-month period. (If you have not paid any fees – e.g. you are a free retailer – liability is limited to a nominal amount equivalent to one month's service fee.) Some jurisdictions may not allow limitations of liability or certain disclaimers, so these limits may not apply to you.
In particular, Invention Hill is not responsible for the performance or behavior of Dealers or Retailers. Ceramic Portal is merely a platform for Dealers and Retailers to transact; the Company does not inspect, endorse, or guarantee the products or businesses of its users. Any disputes over products, orders, or deliveries are strictly between the Dealer and Retailer involved. The Company disclaims all liability related to any transaction, product quality, or contractual agreement between users of the platform.

8. Termination of Accounts

We reserve the right to suspend or terminate your access to Ceramic Portal at any time, with or without notice, for any reason. Grounds for termination include violation of these Terms, non-payment of fees (for Dealers), inactivity, or any conduct we deem harmful. Upon termination, your right to use the service ceases immediately. You may terminate your own account at any time by closing your account.
Termination does not relieve you of the obligation to pay any outstanding fees. Sections that by their nature should survive termination (such as Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) will continue in effect.

9. Changes to terms

Invention Hill may change or update these Terms at any time and will post the updated version on our website. If we make material changes, we will provide notice by email or via a notice on the login/dashboard screen prior to the change taking effect. You should review the Terms whenever you use the service. Continued use of Ceramic Portal after the effective date of the revised Terms means you agree to the changes. If you do not agree to the new Terms, you must stop using the service and may close your account.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of India without regard to its conflict of law principles. Any disputes arising out of or related to these Terms will be subject to the exclusive jurisdiction of the courts of India. You agree that any cause of action related to these Terms must commence within one year after the claim arises, or be permanently barred.

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices posted on Ceramic Portal, constitute the entire agreement between you and Invention Hill regarding the use of the service, and supersede all prior agreements.
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver: No waiver of any term by Invention Hill shall be deemed a further or continuing waiver of such term or any other term.
By using Ceramic Portal, you acknowledge that you have read, understood, and agree to be bound by these Terms and all the documents they incorporate by reference.
